Welcome to Emma Health. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “your”) and Emma Health, Inc. (“Emma Health,” “we,” “us,” or “our”), a Nevada corporation. These Terms govern your access to and use of our website at myemmahealth.com, our mobile application at emmahealth.app, and all related services, features, and content (collectively, the “Services”).
By creating an account, accessing, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use our Services.

1. Eligibility
You must be at least 18 years of age and a resident of the United States to use our Services. By using the Services, you represent and warrant that you meet these eligibility requirements. If you are using the Services on behalf of another person, you represent that you have the authority to bind that person to these Terms.
2. Description of Services
Emma Health provides an AI-powered microbiome modulation program designed to support individuals managing Irritable Bowel Syndrome (IBS). Our Services include:
- Microbiome testing: Coordination with our laboratory partner, Genova Diagnostics, to provide at-home stool sample collection and comprehensive microbiome analysis via the GI Effects test
- Personalized action plans: AI-generated recommendations across five health pillars — supplements, diet, sleep, movement, and stress management — tailored to your microbiome test results and health profile
- Daily tracking: Tools to log symptoms, bowel movements, mood, and other health metrics
- Progress insights: AI-powered analysis of your symptom trends and program engagement
- Educational content: Articles, videos, and resources about gut health, IBS management, and microbiome science
- Notifications: Check-in reminders, lab result alerts, action plan updates, and milestone notifications delivered via email, push notification, and/or SMS (with your consent)
3. Accounts and Registration
To use our Services, you must create an account and provide accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately at support@myemmahealth.com if you become aware of any unauthorized use of your account
- Keeping your account information, including your email address and phone number, accurate and up to date
We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, misleading, or incomplete, or if we reasonably believe your account has been compromised.
4. Health and Medical Disclaimer
Emma Health is a wellness platform. Our Services are intended for educational and general wellness purposes only and are not a substitute for professional medical advice, diagnosis, or treatment.
- The information and recommendations provided through our Services, including personalized action plans, supplement suggestions, and dietary guidance, are not medical advice and should not be relied upon as such.
- Our Services have not been evaluated by the U.S. Food and Drug Administration (FDA). Emma Health does not claim to diagnose, treat, cure, or prevent any disease or medical condition.
- You should always consult with a qualified healthcare provider before starting any new supplement, dietary change, or health program, especially if you have existing medical conditions or are taking medications.
- Our personalized action plans are reviewed by medical professionals on our team, but this review does not constitute a doctor-patient relationship between you and Emma Health or any of its clinical staff.
- If you experience a medical emergency, call 911 or your local emergency services immediately. Do not rely on Emma Health for emergency medical assistance.
- The supplements recommended as part of your action plan are commercially available and generally recognized as safe. However, individual reactions may vary. Discontinue any supplement and consult your doctor if you experience adverse effects.
5. SMS/Text Messaging Terms
This section governs your participation in the Emma Health SMS Messaging Program.
Program Description
Emma Health may send you SMS/text messages related to your microbiome modulation program, including:
- Daily check-in reminders
- Lab result and test kit status notifications
- Action plan updates and recommendations
- Study milestone alerts and progress notifications
- Account and security alerts
Consent
By opting in to Emma Health SMS messages, you agree to receive recurring automated text messages at the mobile number you provide. Your consent to receive SMS messages is not a condition of purchasing any product or service from Emma Health. You may use our Services without opting in to SMS.
Message Frequency
Up to 10 messages per week during active program phases. Message frequency varies based on your program phase and activity.
Message and Data Rates
Message and data rates may apply. Check with your mobile carrier for details about your text messaging plan.
Opt-Out
You can cancel SMS messages at any time. Text STOP to the number from which you received a message. After you send the message STOP, you will receive one final SMS message confirming that you have been unsubscribed. No further messages will be sent to your mobile device unless you re-enroll. You may also opt out by updating your preferences in the Emma Health app or by contacting support@myemmahealth.com.

For assistance with our SMS program, text HELP to the number from which you received a message, or contact us at support@myemmahealth.com.
Supported Carriers
Our SMS program is supported by T-Mobile, AT&T, Verizon, and all other major U.S. mobile carriers. However, carriers are not liable for delayed or undelivered messages.
No Sharing of Mobile Information
No mobile information will be shared with third parties/affiliates for marketing/promotional purposes.
Privacy
For information on how we handle your mobile data, see Section 3 of our Privacy Policy (SMS/Text Messaging Privacy).
6. Subscriptions and Payment
Membership Plans
Access to our Services requires a paid membership. Details of available plans, pricing, and included features are described on our website at myemmahealth.com/membership. Prices are listed in U.S. dollars.
Payment Processing
All payments are processed securely through Stripe. By providing your payment information, you authorize us to charge your payment method for the fees associated with your selected membership plan. You agree to keep your payment information current.
Auto-Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current rate for your plan at each renewal.
Cancellation
You may cancel your subscription at any time through the Emma Health app or by contacting support@myemmahealth.com. Cancellation takes effect at the end of your current billing period. You will retain access to the Services until that date.
Refunds
Membership fees are generally non-refundable. However, if you are dissatisfied with our Services, please contact us at support@myemmahealth.com and we will review your situation on a case-by-case basis. Refunds for lab testing fees are subject to the testing having not yet been initiated by Genova Diagnostics.
7. Lab Testing
As part of our Services, Emma Health coordinates microbiome testing through our laboratory partner, Genova Diagnostics, a CLIA-certified laboratory. By enrolling in our program, you understand and agree that:
- You will receive an at-home stool sample collection kit. You are responsible for following the collection instructions and returning the kit as directed.
- Sample analysis is performed by Genova Diagnostics, not by Emma Health. Genova maintains its own quality standards, certifications, and privacy practices.
- Test results are typically available within 21 days of the laboratory receiving your sample. Processing times may vary.
- We will share necessary personal and health information with Genova Diagnostics for the purpose of ordering and processing your test. This is described in our Privacy Policy.
- Lab results are provided for informational and wellness purposes and do not constitute a medical diagnosis.
- In the event of a lost, damaged, or invalid sample, we will work with you to arrange a replacement kit at no additional cost.
8. AI and Algorithmic Recommendations
Emma Health uses artificial intelligence and algorithmic systems to generate personalized recommendations. By using our Services, you understand and agree that:
- Action plans, dietary recommendations, supplement suggestions, and other guidance generated by our AI systems are based on patterns in your data, published research, and our proprietary algorithms.
- AI-generated recommendations are reviewed by our clinical team, including our Chief Medical Officer, before being presented to you.
- AI systems can make errors. Recommendations may not account for all individual factors, and their effectiveness may vary from person to person.
- AI-generated content does not constitute medical advice. You should always use your own judgment and consult a healthcare provider before acting on any recommendation.
- We continuously improve our algorithms based on aggregated, de-identified program data. Your individual data contributes to improving the overall quality of recommendations for all users.
9. User Content and Data
When you submit data through our Services (such as daily check-ins, health profile information, and survey responses), you retain ownership of that data. By submitting content to our Services, you grant Emma Health a non-exclusive, worldwide, royalty-free license to use, process, and analyze your data for the purpose of providing and improving our Services, and for conducting de-identified research as described in our Privacy Policy.
You represent that any information you provide through the Services is accurate and truthful to the best of your knowledge. Providing inaccurate health information may affect the quality of your personalized recommendations.
10. Intellectual Property
All content, features, functionality, software, text, graphics, logos, trademarks, and other materials available through our Services are owned by or licensed to Emma Health, Inc. and are protected by United States and international copyright, trademark, patent, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. You may not copy, modify, distribute, sell, or lease any part of our Services or included content, nor may you reverse engineer or attempt to extract any source code.
11. Prohibited Uses
You agree not to:
- Use the Services for any unlawful purpose or in violation of these Terms
- Share your account credentials with any other person
- Attempt to gain unauthorized access to any part of the Services, other accounts, or any systems or networks connected to the Services
- Use the Services to transmit any malware, viruses, or harmful code
- Scrape, crawl, or use automated means to access the Services or collect data
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Use the Services to provide medical advice or treatment to others
- Reproduce, redistribute, or resell any part of the Services or its content
12. Termination
We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, including if we reasonably believe you have violated these Terms. Upon termination:
- Your right to use the Services will immediately cease
- We may delete your account data in accordance with our Privacy Policy and applicable data retention obligations
- Any provisions of these Terms that by their nature should survive termination will remain in effect, including sections on disclaimers, limitation of liability, indemnification, and dispute resolution
You may terminate your account at any time by contacting support@myemmahealth.com.
13. Disclaimers
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by applicable law, Emma Health, Inc. disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any defects will be corrected. We do not warrant the accuracy, reliability, or completeness of any content provided through the Services, including AI-generated recommendations.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EMMA HEALTH, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.
Our total aggregate liability for all claims arising out of or relating to these Terms or the Services shall not exceed the amount you paid to Emma Health in the twelve (12) months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability will be limited to the maximum extent permitted by law.
15. Indemnification
You agree to defend, indemnify, and hold harmless Emma Health, Inc., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit through the Services.
16. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Informal Resolution
Before filing any formal proceeding, you agree to first contact us at support@myemmahealth.com to attempt to resolve any dispute informally. We will attempt to resolve the dispute within 30 days of receiving your notice.
Binding Arbitration
If we cannot resolve a dispute informally, you and Emma Health agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. Arbitration shall take place in the State of Nevada or, at your election, may be conducted remotely (by phone, video, or based on written submissions).
Class Action Waiver
You and Emma Health agree that any arbitration or legal proceeding shall be conducted only on an individual basis and not in a class, consolidated, or representative action. If a court or arbitrator determines that this class action waiver is unenforceable, the arbitration agreement shall be void in its entirety.
Small Claims Exception
Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court’s jurisdictional limits.
Opt-Out
You may opt out of this arbitration agreement by sending written notice to support@myemmahealth.com within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.
17. Governing Law
These Terms and any disputes arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles. To the extent that arbitration does not apply, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Nevada.
18. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this page and notify you by posting the revised Terms on our website. For significant changes, we may also provide additional notice via email or in-app notification.
Your continued use of the Services after any changes constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Services and may contact us to close your account.
19. General Provisions
- Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Emma Health regarding your use of the Services.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
- Force majeure: We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including natural disasters, pandemics, acts of government, internet outages, or failures of third-party service providers.
- Headings: The section headings in these Terms are for convenience only and have no legal effect.
